Raise the Roof
LIBRARY/ CLASSROOM USE LICENSE AGREEMENT
On this day of (“Date”) Trillium Studios grants an institutional license of the film Raise the Roof (“The Film”)
to (“Licensed Party”). With this license, the film may be viewed via the Licensed Party’s video streaming system by students, staff and faculty of the Licensed Party in classrooms or for private home-use, by patrons, and may be screened by the Licensed Party’s library for organization members on condition that no fee is charged.
1. The term of this license is the life of the format in which the digital video file is issued. The Licensed Party may purchase updated video files and use them under a new license.
2. This license includes public performance rights (“PPR”) limited to exhibition internally for members of the Licensed Party only. Such exhibitions may not be publicly advertised, and must be screened only for non-paying audiences.
3. The digital video file:
a. Must not be altered in any manner whatsoever.
b. Is protected under United States Copyright Code.
c. Is to be used only for educational use by the Licensed Party.
d. Will not be shown to the public, theatrically, commercially and screenings that are authorized under PPR will not be advertised to the public.
e. Will not be rented, loaned for a fee, leased, or sub-leased to others.
f. Will not be broadcast or televised.
4. The Licensed Party will not negotiate any transaction concerning the digital video file without specific written authorization from Trillium Studios.
5. This license is granted only upon payment of fees specified by or through Trillium Studios.
6. All materials acquired from Trillium Studios including but not limited to video, audio, graphics, text, images, and interactive media ("content") are the property of Trillium Studios or have been licensed to Trillium Studios, and are protected by international copyright and trademark laws. Licensed Party has no ownership of the content.
7. Representations and Warranties:
a. Licensed Party warrants that all information provided is true and accurate. Trillium Studios may terminate Licensed Party’s rights to any or all service if any information Licensed Party provides is false or inaccurate.
b. Licensed Party agrees to provide adequate security for protection of content from piracy, theft and any other misuse while content is stored on systems controlled, owned, leased or otherwise contracted for use by the Licensed Party.
8. These terms of use are governed by the laws of the United States and, where no other state law is applicable, the State of Massachusetts, without giving effect to any principles of conflicts of laws.
